Azuluna Wholesale Terms & Conditions

  1. 1. Ordering Process:

    • • Orders must be placed through our designated wholesale portal or via email.
    • • Minimum order quantities may apply.
    • • Orders are subject to availability and confirmation.

  2. 2. Payment Terms:

    • • Payment is due within 15 days upon receipt of invoice.
    • • We accept payment via credit card, bank transfer (ACH), or other agreed-upon methods.
    • • Late payments may incur interest charges (+10% after 30 days from receipt of invoice).

  3. 3. Shipping and Delivery:

    • • Shipping/delivery costs are $20 minimum charge or will be calculated based on order size and destination.
    • • Delivery times may vary and are subject to carrier schedules and availability.
    • • Customers are responsible for inspecting shipments upon delivery and reporting any discrepancies or damages immediately.

  4. 4. Product Quality and Returns:

    • • We strive to provide high-quality products. However, if you receive damaged or defective items, please contact us within 48 hours of receipt to arrange for replacements or refunds.

  5. 5. Damaged, Spoiled, or Incorrect Goods Policy

    • • We will issue a refund, exchange, or credit (at our discretion) for food products that are materially damaged or spoiled upon arrival as a result of Azuluna’s actions, or if we send you the wrong product. Azuluna shall have sole discretion in determining whether a food product is eligible under this policy and we reserve the right to refuse any request under this policy if we determine that your complaint is the result of delays or mishandling by a third-party carrier.
    • • To submit a request under this policy, please contact us at hello@azulunafoods.com. We reserve the right to require a detailed description and/or photographic evidence of the concern with the food product and/or to require the return shipment of the food product to Azuluna (in which case, we will pay for return shipping). If we determine that the food product is eligible under this policy, Azuluna shall have sole discretion as to whether we issue a refund, issue a credit to your Azuluna account, or send you a replacement item. When a refund is issued, it will be issued to the original method of payment.

  6. 6. Resale Restrictions:

    • • Wholesale customers agree to resell our products in accordance with all applicable laws and regulations.
    • • Our products may not be sold on third-party online marketplaces without prior authorization.

  7. 7. Credit Limitation:

    • • Wholesale customers are subject to a credit limit of $1000.
    • • Orders exceeding the credit limit must be paid in full before shipment or may require alternative payment arrangements.
    • • We reserve the right to review and adjust credit limits based on payment history, creditworthiness, and other relevant factors.

  8. 8. Confidentiality of Pricing Strategy:

    • • Wholesale customers agree that the pricing strategy provided by Azuluna is confidential and proprietary information.
    • • Wholesale customers shall not disclose, share, or otherwise disseminate any information regarding Azuluna's pricing strategy to third parties without prior written consent.

  9. 9. Jurisdiction and Governing Law:

    • • Any disputes arising from these terms and conditions will be governed by the laws of the state of Connecticut.
